Please read these Terms of Use (the "Terms") carefully. They govern your access to and use of the website located at vane.pro (the "Site"), the VANE application, and all related services (collectively, the "Interface") operated by VANE DEFI, LLC, a Wyoming limited liability company ("VANE," "we," "us," or "our").
By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Interface.
IMPORTANT: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 14, WHICH AFFECT YOUR RIGHTS REGARDING HOW DISPUTES ARE RESOLVED. PLEASE READ THEM CAREFULLY.
1. Eligibility
By accessing or using the Interface, you represent and warrant that you:
(a) Are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater;
(b) Have the legal capacity and authority to enter into a binding agreement;
(c) Are not a person or entity barred from using the Interface under applicable law;
(d) Are not a resident of, citizen of, located in, incorporated in, or operating from any Restricted Territory (as defined in Section 3);
(e) Will not access or use the Interface if doing so is prohibited by, or would cause us to violate, any applicable law, rule, or regulation; and
(f) Are not subject to sanctions administered or enforced by any governmental authority, including without limitation the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC"), the United Nations Security Council, the European Union, or His Majesty's Treasury.
2. The Interface
2.1 Description
The Interface is a venue-agnostic portfolio management terminal for the Solana ecosystem. It provides users with a unified interface to view, manage, and execute transactions across multiple categories of decentralized finance activity — including spot trading, liquidity provision, perpetual futures, borrow/lend, and prediction markets — through various third-party decentralized protocols (collectively, the "Protocols"). The Interface utilizes third-party technology for transaction and order quoting, routing, and execution. The Interface may also provide access to configurable automated portfolio management strategies, including but not limited to automated liquidity provision and index rebalancing strategies, where you control the strategy parameters and configurations.
2.2 Wallet Infrastructure and Custody
The Interface uses third-party embedded wallet infrastructure provided by Privy.io ("Privy") to create and manage wallets on your behalf. By using the Interface, you acknowledge and agree to the following:
(a) Wallet creation. When you sign up for the Interface, an embedded Solana wallet is created for you through Privy's infrastructure. This wallet serves as your primary wallet for interacting with the Interface;
(b) Signing authority. VANE has delegated signing authority over your embedded wallet through Privy's multi-party computation ("MPC") infrastructure. This means that VANE can construct and sign transactions on your behalf to facilitate the services provided through the Interface, including automated strategy execution, portfolio rebalancing, and transaction routing;
(c) Your ownership and key export rights. You are the owner of your embedded wallet. You have the ability to export your private keys at any time through Privy's user-facing portal ("Privy Home" or equivalent). Upon export, you assume full and sole responsibility for the security and management of those keys;
(d) Scope of signing authority. VANE uses its signing authority solely to execute transactions that you have authorized or configured through the Interface, including transactions initiated by automated strategies you have enabled. VANE implements transaction policy controls through Privy's policy engine and internal safeguards to constrain the types of transactions that can be signed on your behalf;
(e) No guarantee against unauthorized transactions. While we implement technical safeguards to prevent unauthorized use of signing authority, you acknowledge that the delegation of signing authority to VANE carries inherent risk. In the event of a security compromise of VANE's systems, Privy's infrastructure, or any related systems, your wallet and the assets within it could be at risk. You should not store more assets in your embedded wallet than you are willing to risk;
(f) External wallet funding. You may connect external wallets (e.g., Phantom, Solflare) to the Interface for the purpose of funding your embedded wallet or withdrawing assets. VANE does not have signing authority over your external wallets; and
(g) Third-party dependency. The embedded wallet infrastructure is provided by Privy, a third party. VANE does not control Privy's systems, uptime, security, or key management infrastructure. Your use of the embedded wallet is also subject to Privy's terms of service and privacy policy, which you should review independently.
2.3 Transaction Execution
The Interface facilitates transactions across third-party Protocols on the Solana blockchain. We utilize third-party services for transaction quoting and execution and submit transaction operations on a best-efforts basis. You acknowledge and agree that:
(a) Transactions submitted through the Interface are executed on-chain and, once confirmed on the Solana blockchain, are generally irreversible;
(b) VANE constructs and routes transactions to third-party Protocols based on your instructions or the parameters of automated strategies you have configured. VANE does not operate these Protocols and is not responsible for their functionality, security, or availability. We do not control transaction execution ordering, confirmation times, or on-chain settlement;
(c) Automated strategies operate according to parameters that you configure and control. VANE does not exercise discretion over your investment decisions or manage your assets on a discretionary basis. Strategy execution is subject to market conditions, network congestion, transaction failures, slippage, and other factors beyond our control. We do not guarantee any particular outcome or performance;
(d) We may display estimated returns, yields, or performance metrics through the Interface. These are estimates only, are not guaranteed, and should not be relied upon as predictions of future performance; and
(e) You are solely responsible for evaluating the risks of any transaction or strategy and for configuring strategy parameters before authorizing execution through the Interface.
2.4 Third-Party Protocols
The Interface provides access to third-party decentralized protocols including, without limitation, Orca, Raydium, Meteora, Drift, Jupiter, Polymarket, and others. We do not own, control, or operate these Protocols. Your interactions with these Protocols are subject to their respective terms, conditions, and smart contract logic. We make no representations or warranties regarding the functionality, security, solvency, or continued availability of any third-party Protocol.
3. Restricted Territories
The Interface is not available to persons or entities who reside in, are citizens of, are located in, are incorporated in, or have a registered office in any Restricted Territory. "Restricted Territory" means: Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine, Myanmar, or any other jurisdiction subject to comprehensive sanctions enforced by OFAC, the United Nations Security Council, or the European Union.
You must not use any technology, including virtual private networks ("VPNs"), to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition.
4. User Responsibilities
4.1 Wallet and Account Security
You are solely responsible for:
(a) Maintaining the security of your authentication credentials, including any email, social login, or other method used to access your embedded wallet through the Interface;
(b) Maintaining the security of any exported private keys or seed phrases;
(c) Maintaining the security of any device used to access the Interface;
(d) All activity that occurs through your embedded wallet or connected external wallets, whether or not authorized by you; and
(e) Any loss arising from unauthorized access to your authentication credentials, devices, or exported private keys.
If you export your private keys and subsequently lose them, or if a third party gains access to your authentication credentials, you may permanently lose access to your digital assets. We may be unable to recover private keys or reverse blockchain transactions.
4.2 Compliance
You are solely responsible for determining whether your access to and use of the Interface complies with applicable laws and regulations in your jurisdiction. Nothing in the Interface constitutes legal, financial, tax, or investment advice.
4.3 Tax Obligations
You are solely responsible for determining what, if any, taxes apply to the transactions you conduct through the Interface and for reporting and remitting the correct tax to the appropriate tax authority.
5. Prohibited Uses
You agree not to, and will not assist, encourage, or enable others to:
(a) Use the Interface for any illegal purpose or in violation of any applicable law or regulation;
(b) Use the Interface to engage in, facilitate, or support money laundering, terrorist financing, sanctions evasion, fraud, or any other financial crime;
(c) Use the Interface to manipulate markets, engage in wash trading, or conduct any form of market abuse;
(d) Attempt to gain unauthorized access to the Interface, other users' wallets, or any connected systems or networks;
(e) Introduce any malware, virus, trojan, worm, logic bomb, or other harmful material;
(f) Interfere with, disrupt, or create an undue burden on the Interface or the networks or services connected to it;
(g) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any proprietary component of the Interface;
(h) Use automated scripts, bots, or other means to access the Interface in a manner that exceeds reasonable use, except through our documented APIs;
(i) Use the Interface from a Restricted Territory or circumvent geographic restrictions through VPNs or similar technology;
(j) Provide false, inaccurate, or misleading information in connection with your use of the Interface; or
(k) Use the Interface in any manner not expressly authorized by these Terms.
6. Intellectual Property
6.1 Ownership
We retain all right, title, and interest in and to the Interface, including all associated intellectual property rights. The VANE name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks or those of our affiliates or licensors. You may not use such marks without our prior written permission.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Interface for your personal, non-commercial use.
6.3 Open-Source Components
Certain components of the Interface may incorporate open-source software. Your use of such components is subject to the applicable open-source licenses.
7. Fees
7.1 Platform Fees
VANE may charge fees for certain services, including but not limited to automated strategy execution, premium features, or enhanced functionality. Current fee schedules are published at docs.vane.pro/fees and are incorporated into these Terms by reference. Fee schedules are subject to change; updated fee information will be made available at docs.vane.pro/fees and through the Interface.
7.2 Network Fees
All blockchain transactions require payment of network fees (commonly referred to as "gas fees" or "priority fees") that are paid directly to the Solana network validators. These fees are not collected by us and are not within our control. You are solely responsible for ensuring your wallet maintains a sufficient SOL balance to cover applicable network fees.
7.3 Third-Party Protocol Fees
Interactions with third-party Protocols may incur additional fees charged by those Protocols, including but not limited to swap fees, trading fees, borrowing interest, liquidity pool venue fees, and perpetual futures funding rate costs. Such fees are charged by the respective Protocols, are not collected by us, and are not within our control. You are solely responsible for understanding the fee structures of any Protocol you interact with through the Interface.
8. Risks
You acknowledge and accept the following risks associated with using the Interface. This list is not exhaustive.
8.1 Signing Authority Risk
As described in Section 2.2, VANE has delegated signing authority over your embedded wallet. While we implement technical safeguards to constrain the use of this authority, a compromise of VANE's systems or Privy's infrastructure could result in unauthorized transactions being signed from your wallet. This risk is inherent to any system where a third party holds signing authority, and you should evaluate this risk when deciding how much value to store in your embedded wallet.
8.2 Third-Party Infrastructure Risk
Your embedded wallet is created and managed through Privy's infrastructure. A failure, compromise, discontinuation, or change in Privy's services could affect your ability to access or use your wallet. While you have the ability to export your private keys, you should consider doing so as a precautionary measure and storing them securely.
8.3 Smart Contract Risk
The Protocols accessed through the Interface rely on smart contracts deployed on the Solana blockchain. Smart contracts may contain bugs, vulnerabilities, or errors that could result in the loss of your digital assets. While third-party Protocols may undergo security audits, no audit guarantees the absence of vulnerabilities.
8.4 Market Risk
Digital asset markets are highly volatile. The value of your digital assets may fluctuate significantly and may decrease to zero. Past performance is not indicative of future results. Automated strategies do not guarantee returns and may result in losses, including total loss of deposited assets.
8.5 Impermanent Loss
Providing liquidity to automated market maker pools involves the risk of impermanent loss, where the value of your deposited assets may decline relative to holding them outright. Automated LP strategies may mitigate but cannot eliminate this risk.
8.6 Liquidation Risk
If you engage in leveraged or collateralized positions through any Protocol, your positions may be liquidated if collateral values decline below required thresholds. Liquidation is enforced by the relevant Protocol's smart contracts and is not within our control.
8.7 Blockchain Risk
The Solana blockchain may experience congestion, forks, outages, or other disruptions that could affect the processing and finality of transactions. We do not control the Solana blockchain and cannot guarantee its availability or performance.
8.8 Regulatory Risk
The regulatory landscape for digital assets and decentralized finance is evolving and uncertain. Future laws or regulations may adversely affect the availability or functionality of the Interface, the Protocols, or digital assets generally. Changes in law may also affect the legal status or tax treatment of your activities conducted through the Interface.
8.9 Counterparty and Protocol Risk
Third-party Protocols accessed through the Interface may be compromised, exploited, or become insolvent. We do not guarantee the security, solvency, or continued operation of any third-party Protocol.
8.10 Execution Risk
Transactions and automated strategies are subject to execution risk including network latency, transaction failures, slippage, unfavorable market conditions, and insufficient liquidity at the time of execution.
9. Disclaimers
9.1 "As Is" Basis
THE INTERFACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Financial Advice
Nothing contained in the Interface constitutes financial, investment, legal, or tax advice. We are not a registered broker-dealer, investment adviser, exchange, or custodian. Any information, data, strategy parameters, or performance metrics provided through the Interface are for informational purposes only. You should consult a qualified professional before making any financial decision.
9.3 No Guarantees
We do not guarantee that the Interface will be uninterrupted, timely, secure, or error-free. We do not guarantee the accuracy, completeness, or timeliness of any information displayed through the Interface, including price data, portfolio valuations, yield estimates, or strategy performance metrics.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VANE DEFI, LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:
(a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
(b) ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
(c) ANY LOSS OF DIGITAL ASSETS, WHETHER CAUSED BY SMART CONTRACT VULNERABILITIES, PROTOCOL EXPLOITS, MARKET FLUCTUATIONS, LIQUIDATIONS, WALLET COMPROMISE, OR OTHERWISE;
(d) ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE INTERFACE;
(e) ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR USE OF YOUR WALLET, INCLUDING THROUGH COMPROMISE OF VANE'S SYSTEMS OR PRIVY'S INFRASTRUCTURE;
(f) ANY DAMAGES ARISING FROM THE CONDUCT OF ANY THIRD PARTY, INCLUDING THIRD-PARTY PROTOCOL OPERATORS, PRIVY, OR OTHER SERVICE PROVIDERS; OR
(g) ANY DAMAGES ARISING FROM ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE INTERFACE OR ANY THIRD-PARTY SERVICE.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (I) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless VANE DEFI, LLC, its affiliates, and their respective officers, directors, members, managers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your access to or use of the Interface;
(b) Your violation of these Terms;
(c) Your violation of any applicable law or regulation;
(d) Your violation of any rights of any third party;
(e) Any transactions or strategies you execute or authorize through the Interface; or
(f) Any content or information you provide through the Interface.
12. Modifications
We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Interface or by other reasonable means. Your continued use of the Interface after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Interface.
13. Termination
We may, in our sole discretion, restrict, suspend, or terminate your access to the Interface at any time, for any reason, with or without notice. Upon termination:
(a) Your right to access the Interface will immediately cease;
(b) You retain the ability to export your private keys through Privy and access your wallet and on-chain assets independently of the Interface; and
(c) We are under no obligation to maintain your strategy configurations, portfolio settings, transaction history, or any other data associated with your use of the Interface beyond what is required by applicable law.
All provisions that by their nature should survive termination shall survive, including without limitation Sections 6, 8, 9, 10, 11, 14, and 15.
14. Dispute Resolution
14.1 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered under the commercial arbitration rules of a nationally recognized arbitration body selected by VANE. The seat of arbitration shall be Sheridan, Wyoming. The language of the arbitration shall be English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.2 Class Action Waiver
YOU AND VANE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.
14.3 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights.
15. General Provisions
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and VANE DEFI, LLC regarding your use of the Interface and supersede all prior or contemporaneous agreements, understandings, or communications.
15.5 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms.
15.6 Force Majeure
We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to blockchain network failures or outages, natural disasters, war, terrorism, pandemics, government actions, failures of third-party service providers (including Privy), or internet service disruptions.
